By accessing and using the services provided by IronStrategist B.V. ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms constitute a legally binding agreement between you and IronStrategist.
IronStrategist provides professional beauty brand marketing strategy services, including but not limited to strategic consulting, digital marketing campaigns, brand development, customer experience design, and performance analytics. Our services are designed specifically for beauty industry businesses including spas, salons, beauty product companies, and related enterprises. The specific scope of services will be outlined in individual service agreements or proposals.
You agree to provide accurate, complete, and timely information necessary for the provision of our services. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorised use of your account. You agree to cooperate with our team and provide reasonable access to information, personnel, and systems as required for service delivery.
Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts. All fees are non-refundable unless otherwise specified in writing.
All intellectual property rights in materials created by IronStrategist in the course of providing services, including strategies, methodologies, templates, and proprietary processes, remain the property of IronStrategist. Client-specific deliverables and customised strategies developed for your business will be licensed to you for your business use. You retain ownership of your pre-existing intellectual property and any content you provide to us. Both parties agree to respect each other's intellectual property rights.
Both parties acknowledge that they may have access to confidential information during the course of the business relationship. We agree to maintain the confidentiality of your business information and not to disclose it to third parties without your consent, except as required by law or necessary for service delivery. You agree to maintain the confidentiality of our proprietary methodologies and business processes.
To the maximum extent permitted by law, IronStrategist's total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for services in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities. This limitation applies regardless of the theory of liability.
Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific results or outcomes from our marketing strategies, as success depends on various factors beyond our control, including market conditions, competition, and client implementation.
These Terms of Service shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands. The parties agree to attempt to resolve any disputes through good faith negotiations before pursuing legal action.
Either party may terminate the service relationship with written notice as specified in the individual service agreement. In the absence of a specific termination clause, either party may terminate with 30 days' written notice. Upon termination, you remain responsible for payment of all services rendered up to the termination date. Termination does not affect any rights or obligations that accrued prior to termination.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions. In such cases, the affected party will notify the other party promptly and make reasonable efforts to minimise the impact.
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting on our website with an updated "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms. For material changes, we will provide reasonable notice to existing clients.
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms will otherwise remain in full force and effect. The invalidity of any provision does not affect the validity of the remaining provisions.
These Terms of Service, together with any individual service agreements and our Privacy Policy, constitute the entire agreement between you and IronStrategist regarding the use of our services. These terms supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
